POSITION SUMMARY

The Governance Operations Manager plays a critical dual role, combining senior executive support and governance coordination to enable the effectiveness of the Senior Vice President, Strategy & Governance.

A significant portion of this role (approximately 60%) is dedicated to high-level executive assistant responsibilities, including complex calendar management, stakeholder coordination, meeting preparation, executive prioritization, and proactive support across a demanding and dynamic portfolio. In parallel, the role supports Board and governance operations, ensuring meetings, materials, records, and follow-up actions are executed with accuracy, discretion, professionalism, and a high level of responsiveness.

This is a high-trust, high-discretion role requiring strong judgement, anticipation, organizational capability, and the ability to manage multiple competing priorities calmly and effectively in a fast-paced executive environment. The role contributes directly to the effectiveness of the Senior Vice President, Chief Executive Officer, Board of Directors, and senior leadership team by ensuring priorities, commitments, governance activities, and executive operations are coordinated seamlessly and to a high standard.


KEY RESPONSIBILITIES

Executive Assistant Support & Strategic Coordination

  • Act as a trusted right hand to the Senior Vice President, Strategy & Governance, proactively managing priorities, anticipating needs, and ensuring readiness across all commitments and responsibilities.
  • Own and actively manage a highly complex executive calendar, balancing competing priorities, shifting demands, governance requirements, and strategic initiatives in real time.
  • Serve as a primary point of triage and gatekeeping for the office of the Senior Vice President, assessing incoming requests, determining priorities, and ensuring timely action or escalation.
  • Coordinate and orchestrate meetings involving the Chief Executive Officer, Board members, senior leadership, donors, and external stakeholders, ensuring alignment, preparation, logistics, and follow-through.
  • Anticipate upcoming needs by preparing briefing materials, agendas, presentations, speaking notes, correspondence, and meeting materials to a high professional standard.
  • Ensure the Senior Vice President is well prepared for meetings, presentations, governance activities, and key stakeholder interactions through proactive planning and coordination.
  • Manage executive logistics including travel arrangements, expense submissions, invoices, scheduling adjustments, and administrative processes with a high degree of accuracy and efficiency.
  • Maintain confidential files, records, contact lists, and administrative systems with professionalism, discretion, and strong attention to detail.
  • Build strong working relationships across the Foundation and act as a professional and responsive representative of the office of the Senior Vice President, Strategy & Governance.

Governance & Board Operations

  • Lead the planning, scheduling, coordination, and execution of Board of Directors, Committee, and governance-related meetings.
  • Manage the annual governance calendar, ensuring alignment with Chief Executive Officer, Board Chair, Committee Chair, and organizational priorities.
  • Prepare agendas, Board packages, briefing materials, resolutions, minutes, and follow-up documentation that support effective governance and informed decision-making.
  • Maintain governance records including by-laws, Committee Terms of Reference, policy documentation, annual filings, and historical governance records.
  • Administer governance systems such as Diligent or similar Board portal platforms.
  • Support onboarding and orientation activities for new Board and Committee members.
  • Track governance actions, approvals, deadlines, commitments, and follow-up items to ensure timely completion and accountability.
  • Support governance-related communications, scheduling, and coordination across internal and external stakeholders.

Projects, Coordination & Process Improvement

  • Support special projects, leadership initiatives, and cross-functional priorities within the Strategy & Governance portfolio.
  • Track deliverables, timelines, milestones, action items, and dependencies across multiple concurrent workstreams.
  • Assist in the preparation of dashboards, executive reports, presentations, and leadership updates.
  • Identify opportunities to improve administrative workflows, governance processes, operational efficiency, and technology utilization.
  • Contribute to a culture of responsiveness, accountability, continuous improvement, and high-quality stakeholder service.

Stakeholder Service & Relationship Management

  • Build strong, collaborative working relationships across the Foundation and with internal and external stakeholders.
  • Provide responsive, professional, and service-oriented support to Board members, Committee Chairs, donors, executives, and colleagues.
  • Represent the office of the Senior Vice President, Strategy & Governance with professionalism, maturity, sound judgement, and discretion.
  • Handle highly sensitive and confidential information with integrity, care, and confidentiality.
  • Demonstrate professionalism, composure, and responsiveness while navigating competing demands and evolving priorities.

QUALIFICATIONS & EXPERIENCE

  • 5+ years of progressive experience in executive support, governance administration, Board coordination, senior leadership support, or related roles.
  • Significant experience supporting senior executives, Boards, Committees, or leadership teams within a complex and fast-paced environment.
  • Strong understanding of governance processes, Board protocols, agendas, minutes, and confidential records management.
  • Demonstrated experience managing highly complex calendars, competing priorities, and executive-level stakeholder interactions.
  • Strong written communication skills with the ability to prepare polished materials for executive and Board audiences.
  • Strong organizational, prioritization, multitasking, and follow-through capabilities.
  • High level of judgement, professionalism, discretion, and attention to detail.
  • University degree or equivalent combination of education and relevant experience.


Key Competencies for Success

Functional / Technical Competencies

  • Advanced Microsoft Outlook skills including executive calendar management, meeting coordination, scheduling logistics, and prioritization support.
  • Strong Microsoft Word capabilities including correspondence, agendas, minutes, formatting, and document control.
  • Advanced PowerPoint skills with the ability to create clear and effective executive and Board presentations.
  • Strong Excel skills including trackers, schedules, reporting tools, and formulas.
  • Experience with Microsoft Teams, SharePoint, and virtual meeting platforms.
  • Experience with Board portal systems such as Diligent or similar governance platforms.
  • Strong records management and confidential file administration capability.
  • High level of accuracy, organization, and attention to detail.

WORK ENVIRONMENT

  • Fast-paced, service and results oriented environment
  • May have some activity outside of the office to support meetings
  • The Foundation has a hybrid work model. This position will be required to be in office a minimum of 3 days per week and will be required to have a safe home office set up for the remainder of the working days (specifics to be planned with your manager).
